Platform Access, Product Activation & Channel Support Terms

These Brand Partner Terms of Service govern participation in the Live Sober AF Brand Partner Program, including brand onboarding, platform access, direct-to-consumer product listing, Shopify Collective integration, wholesale catalog eligibility, partner-channel routing, distribution-style sales opportunities, product sampling, marketing activation, event opportunities, strategic opportunity protections, and related services.

For purposes of these Terms, “Live Sober AF,” “we,” “us,” and “our” refer to Brady Houdashelt, a sole proprietor doing business as Live Sober AF.

By subscribing, checking the agreement box, submitting brand information, connecting through Shopify Collective, sharing products, providing samples, accepting opportunities, or otherwise participating in the Live Sober AF Brand Partner Program, Brand agrees to these Terms.

The date of Brand’s acceptance shall be the date recorded by Live Sober AF’s checkout, subscription, onboarding, electronic signature, payment processor, Shopify, or platform records.


1. Legal Identity of Live Sober AF

Brand understands that Live Sober AF is a fictitious business name, trade name, doing-business-as name, brand name, and website operated by Brady Houdashelt as a sole proprietor.

Live Sober AF is not represented in these Terms as a separate corporation, limited liability company, partnership, or other separate legal entity unless later updated in writing.

All rights, obligations, payments, protections, agreements, and business relationships under these Terms are with Brady Houdashelt doing business as Live Sober AF.


2. Program Overview

Live Sober AF provides platform access, commerce infrastructure, direct-to-consumer storefront access, brand partner support, product activation opportunities, catalog infrastructure, and channel strategy related to approved products.

Live Sober AF uses its branded website, ecommerce tools, Shopify Collective integration, direct-to-consumer storefront, wholesale catalogs, marketing channels, buyer relationships, partner-channel network, event opportunities, product education, and sample-based activation to help approved brands increase visibility and create product sales opportunities.

Live Sober AF is not acting as Brand’s legal agent, employee, fiduciary, broker, exclusive sales representative, or guaranteed sales channel.

Brand retains full responsibility for its products, pricing accuracy, compliance, fulfillment, product claims, customer claims, product quality, direct account relationships, and business decisions.


3. Defined Scope of Included Support

The monthly Brand Partner fee includes only limited support directly related to Brand’s participation in the Live Sober AF ecosystem.

Included support may include:

  • Brand onboarding coordination
  • Product review for platform fit
  • Shopify Collective setup coordination
  • Product import and listing review
  • Basic platform readiness review
  • Direct-to-consumer listing eligibility review
  • Wholesale catalog eligibility review
  • Partner-channel eligibility review
  • Product sample coordination
  • Product activation coordination
  • Bundle consideration
  • Event, trade show, buyer, distributor, creator, or influencer opportunity consideration
  • General communication related to Brand’s participation in Live Sober AF programs

The monthly fee does not include unlimited consulting, custom business strategy, custom marketing plans, sales representation, buyer outreach, retail pitch development, packaging redesign, compliance consulting, legal advice, financial advice, product formulation advice, ad management, social media management, email campaign execution, dedicated account development, or custom project work unless separately agreed in writing.

Live Sober AF’s included support is limited to the services reasonably necessary to onboard, list, present, route, sample, activate, and manage Brand’s products within the Live Sober AF platform and approved partner-channel ecosystem.


4. Monthly Platform & Activation Access Fee

Approved Brand agrees to pay Live Sober AF a monthly fee of:

$250/month

This fee provides access to the Live Sober AF Brand Partner Program and may include:

  • Brand onboarding support
  • Product review and approval
  • Shopify Collective setup coordination
  • Product import and listing review
  • Direct-to-consumer product listing eligibility
  • Retail/MSRP storefront placement
  • DTC sales opportunities through LiveSoberAF.co
  • Wholesale catalog eligibility
  • Partner-channel eligibility
  • Distribution-style order routing consideration
  • Marketplace and partner-channel sales opportunities
  • Product sample coordination for internal review, education, content, and approved channel opportunities
  • Eligibility for buyer, distributor, event, trade show, and partner-channel sample opportunities
  • Eligibility for social media, live stream, product education, and product explainer consideration
  • Eligibility for curated bundles, sampler kits, promotional boxes, and partner-channel assortments
  • Branded product visibility on LiveSoberAF.co
  • Access to Live Sober AF’s branded commerce infrastructure
  • Ongoing brand partner participation
  • General platform communication related to Brand’s participation

The monthly fee is for platform access, product activation eligibility, operational infrastructure, ecosystem participation, catalog eligibility, and brand partner access.

The monthly fee does not guarantee sales, purchase orders, revenue, buyer approval, distributor approval, event inclusion, chain placement, account introductions, content creation, social media features, influencer participation, creator participation, or specific business results.

The monthly fee provides access and eligibility, not guaranteed selection for every opportunity.


5. Subscription Billing

Brand authorizes Live Sober AF to charge the monthly subscription fee on a recurring basis until canceled or terminated.

Unless otherwise stated in writing:

  • Subscription fees are billed monthly.
  • Fees are due regardless of sales volume.
  • Fees are non-refundable once billed.
  • Brand may cancel future billing according to the cancellation process provided by Live Sober AF.
  • Cancellation does not relieve Brand of any unpaid fees, product obligations, fulfillment obligations, sample obligations already accepted, confidentiality obligations, no-bypass obligations, protected opportunity obligations, or protected relationship obligations that arose before cancellation.

Live Sober AF may pause, hide, or remove Brand’s products if subscription payment fails, is disputed, is charged back, or remains unpaid.


6. Program Fees and Fee Changes

Live Sober AF may change, increase, decrease, restructure, or replace its monthly Brand Partner fees, program fees, activation fees, marketing fees, strategic opportunity fees, protected opportunity fees, or related charges at any time.

Any fee change will apply prospectively to future billing periods after notice is provided to Brand.

If Brand does not agree to a new fee, Brand may cancel future participation before the new fee takes effect.

Continued participation in the Brand Partner Program after the effective date of a fee change constitutes acceptance of the updated fee.

Fee changes do not affect amounts already billed or owed before the effective date of the change.

Live Sober AF may offer promotional, founding partner, introductory, discounted, grandfathered, limited-time, or custom pricing at its discretion. Such pricing may be changed, discontinued, or replaced at Live Sober AF’s discretion unless otherwise agreed in writing.


7. Shopify Collective Requirement

Brand must connect with Live Sober AF through Shopify Collective unless Live Sober AF approves another process in writing.

Brand is responsible for:

  • Sharing approved products through Shopify Collective
  • Providing accurate product titles, descriptions, images, ingredients, specs, pricing, and product data
  • Maintaining accurate inventory
  • Maintaining accurate MSRP and standard wholesale pricing
  • Maintaining accurate shipping settings
  • Fulfilling orders in a timely manner
  • Providing valid tracking information
  • Keeping products compliant with applicable laws, platform rules, payment processor rules, shipping rules, and marketplace requirements
  • Promptly notifying Live Sober AF of inventory, pricing, packaging, formulation, claim, or shipping changes

Live Sober AF may approve, reject, pause, hide, edit, categorize, or remove products from its platform at its discretion.


8. Partner Pricing Requirement

Live Sober AF’s standard partner pricing requirement is:

35% off Brand’s standard wholesale price

The formula is:

Live Sober AF Cost = Standard Wholesale Price × 0.65

Example:

Live Sober AF partner cost $32.50

This pricing structure is the preferred standard because it supports Live Sober AF’s platform operations, payment processing costs, direct-to-consumer sales, wholesale sales, distribution-style order routing, sample-based activation, partner-channel opportunities, marketplace visibility, account support, and operational margin.

Brand must provide Live Sober AF with accurate MSRP, standard wholesale pricing, and proposed partner cost for each approved SKU.

Live Sober AF may approve alternative pricing only in writing and only when Live Sober AF determines the product economics, category fit, channel opportunity, retail pricing, wholesale pricing, shipping cost, promotional needs, or strategic value still make participation viable.

Products that do not meet Live Sober AF’s required or approved partner pricing structure may be rejected, paused, hidden, limited to certain channels, excluded from wholesale or partner-channel opportunities, or removed from the platform.


9. Margin and Channel Eligibility

Brand understands that not all products will qualify for every Live Sober AF sales channel, catalog, promotion, bundle, event opportunity, sample program, buyer opportunity, distributor opportunity, or partner-channel activation.

Live Sober AF may limit, exclude, or remove products from certain opportunities if pricing, margin, shipping cost, product category, inventory, packaging, compliance, customer demand, or operational costs make the product unsuitable for that opportunity.

If Brand cannot provide the standard 30% discount off wholesale, Live Sober AF may still consider the product for limited participation, direct-to-consumer listing, marketing-only visibility, sample-based review, or other approved uses at Live Sober AF’s discretion.

No product is guaranteed retail placement, wholesale catalog placement, buyer presentation, distributor presentation, event inclusion, bundle inclusion, or partner-channel routing.


10. Pricing Changes

Brand may not reduce Live Sober AF’s approved partner pricing advantage without written approval.

Brand must notify Live Sober AF before making changes to:

  • MSRP
  • Standard wholesale price
  • Shopify Collective cost
  • Case pack pricing
  • Shipping pricing
  • Product size
  • Product count
  • Product formulation
  • Product availability
  • Fulfillment method
  • Inventory status

If pricing, shipping, promotions, fees, or operational costs prevent Live Sober AF from maintaining sustainable margin, Live Sober AF may pause, hide, reject, limit, or remove affected products.


11. Direct-to-Consumer, Wholesale, and Partner-Channel Sales

Live Sober AF may sell approved products through multiple customer-facing channels and pricing structures, including but not limited to:

  • Direct-to-consumer sales
  • Retail/MSRP sales
  • Wholesale catalog sales
  • Buyer-specific pricing
  • Marketplace sales
  • Promotional pricing
  • Bundle pricing
  • Partner-channel sales
  • Distribution-style order routing
  • Approved account programs
  • Other commercial opportunities managed through Live Sober AF

Brand understands that orders may originate from retail customers, direct-to-consumer customers, wholesale buyers, approved account programs, partner channels, marketing campaigns, marketplace activity, or other sales opportunities managed by Live Sober AF.

Unless otherwise agreed in writing, Brand is only required to fulfill approved orders submitted through Live Sober AF or Shopify Collective and does not need to know the source, buyer, channel, or routing method behind each order.


12. Direct-to-Consumer Sales

Brand acknowledges that Live Sober AF may sell approved products directly to consumers through LiveSoberAF.co and related sales channels.

For direct-to-consumer orders, Live Sober AF controls the customer-facing storefront, customer experience, product presentation, promotional strategy, pricing display, merchandising, and customer relationship.

Brand remains responsible for accurate product information, accurate inventory, fulfillment, shipping, product quality, labeling, claims, safety, and compliance.

Brand may not use direct-to-consumer order information, shipping information, customer details, or fulfillment access to redirect customers away from Live Sober AF.


13. Product Samples, Education, Events, and Marketing Activation

Brand agrees to provide reasonable product samples at no cost to Live Sober AF for purposes related to product review, onboarding, internal education, team training, product demonstrations, social media content, live streams, product explainers, buyer education, distributor review, event opportunities, trade show opportunities, influencer or creator seeding, wholesale presentations, partner-channel opportunities, bundle development, and other marketplace or sales activation efforts.

Sample requirements may vary based on SKU count, product category, campaign needs, buyer requests, distributor requests, event opportunities, trade show opportunities, partner-channel needs, influencer or creator opportunities, and Live Sober AF’s reasonable business needs.

Unless otherwise agreed in writing, Brand is responsible for the cost of shipping samples to Live Sober AF, its team, approved representatives, creators, influencers, partners, buyers, distributors, event contacts, trade show contacts, or other approved recipients.

Brand understands that approved products may be used for:

  • Internal product review
  • Team and representative education
  • Product photography
  • Video content
  • Social media content
  • Live product explainers
  • Product demonstrations
  • Taste tests or product trials
  • Buyer sample kits
  • Distributor sample kits
  • Event and trade show sample opportunities
  • Influencer or creator seeding
  • Bundle testing
  • Curated product boxes
  • Promotional kits
  • Wholesale and retail presentations
  • Partner-channel sales support

Live Sober AF may feature approved products in social media posts, live streams, product explainers, product education content, website content, email marketing, buyer-facing materials, sales presentations, curated collections, promotional campaigns, bundles, sampler packs, trade show materials, and related marketing or sales activation materials.

Brand grants Live Sober AF permission to photograph, record, display, discuss, review, explain, demonstrate, compare, sample, bundle, and feature Brand’s products, packaging, name, logo, product information, and marketing materials for purposes related to the Brand Partner Program.

Brand understands that product samples, event inclusion, influencer or creator seeding, social media content, live product discussion, buyer sampling, distributor sampling, trade show sampling, or product demonstrations do not guarantee positive statements, specific content volume, specific sales, purchase orders, buyer acceptance, distributor acceptance, retail placement, event results, influencer posts, creator posts, or commercial outcomes.

Brand is responsible for providing accurate product information, approved talking points, restricted claims, product warnings, ingredient details, allergen information, age restrictions, shipping restrictions, compliance guidelines, lab results, COAs, and any other information necessary for Live Sober AF to responsibly discuss, demonstrate, sample, promote, or present Brand’s products.

Brand may not require Live Sober AF, its team, representatives, creators, influencers, or partners to make false, misleading, unsubstantiated, unlawful, or non-compliant product claims.

Live Sober AF, its team, representatives, creators, influencers, or partners may disclose gifted products, paid relationships, platform relationships, affiliate relationships, free samples, or other material connections where required or appropriate.


14. Bundles, Sampler Packs, and Curated Product Offers

Live Sober AF may include approved products in bundles, sampler packs, curated boxes, collection offers, promotional kits, category sets, partner-channel assortments, event sample kits, buyer sample kits, distributor sample kits, or other product combinations.

Unless separately agreed in writing, Brand’s compensation for bundled products will be based on the agreed Live Sober AF partner cost, Shopify Collective terms, or another approved pricing arrangement.

Brand understands that bundle inclusion is not guaranteed and remains subject to Live Sober AF’s discretion, product fit, pricing, inventory, campaign needs, customer demand, buyer requests, and partner-channel requirements.


15. Optional Participation; No Fee Reduction

Brand understands that certain Live Sober AF opportunities may be optional, including but not limited to sample programs, creator or influencer seeding, live product explainers, social media content, buyer sample kits, distributor sample kits, event opportunities, trade show opportunities, bundles, curated boxes, promotional campaigns, marketplace opportunities, and partner-channel activations.

Brand may choose not to participate in certain optional opportunities when offered, unless participation is required for a specific campaign, buyer request, or separately agreed program.

However, Brand’s decision not to participate in any optional opportunity does not reduce, pause, waive, refund, or otherwise affect the monthly Platform & Activation Access Fee.

The monthly fee remains due because it covers ongoing platform access, product listing eligibility, commerce infrastructure, catalog access, operational support, brand partner participation, and access to the Live Sober AF ecosystem.

If Brand declines an optional opportunity, Live Sober AF may proceed with other brands, products, or partners at its discretion.


16. Opportunity Selection and Platform Discretion

Brand understands that Live Sober AF may receive, identify, create, or participate in various sales, marketing, buyer, distributor, event, trade show, influencer, creator, bundle, retail, wholesale, and partner-channel opportunities.

Brand acknowledges that Live Sober AF has sole discretion to determine which brands, products, SKUs, categories, samples, bundles, or materials are presented, included, promoted, pitched, featured, sampled, demonstrated, or submitted for any opportunity.

Selection may be based on factors including but not limited to:

  • Product category
  • Buyer fit
  • Channel fit
  • Pricing
  • Inventory
  • Compliance
  • Packaging
  • Margins
  • Shipping ability
  • Product quality
  • Demand
  • Timing
  • Event requirements
  • Audience relevance
  • Partner requests
  • Marketing strategy
  • Bundle fit
  • Sample availability
  • Live Sober AF’s business judgment

Participation in the Brand Partner Program does not guarantee inclusion in any specific buyer opportunity, distributor opportunity, event, trade show, social media feature, live stream, influencer campaign, product explainer, bundle, curated box, sampler kit, wholesale presentation, retail pitch, partner-channel opportunity, or promotional campaign.

Brand’s monthly Platform & Activation Access Fee remains due regardless of whether Brand is selected for or participates in any specific opportunity.

Live Sober AF is not required to pitch, present, recommend, sample, promote, or include every Brand for every opportunity.


17. Confidential Buyer and Channel Relationships

Brand acknowledges that Live Sober AF’s customer sources, buyer relationships, wholesale relationships, channel partners, distributor relationships, marketplace relationships, sales routing methods, account opportunities, partner programs, event relationships, trade show relationships, creator relationships, influencer relationships, and commercial relationships are confidential business assets of Live Sober AF.

Brand is not entitled to disclosure of any customer source, buyer name, account name, channel partner, distributor, marketplace buyer, event contact, trade show contact, creator, influencer, routing method, or commercial relationship unless Live Sober AF chooses to disclose such information in writing.

Brand agrees not to use any information obtained through Live Sober AF to bypass, avoid, circumvent, contact, solicit, redirect, or transact directly with any customer, buyer, account, distributor, channel partner, marketplace partner, event contact, trade show contact, creator, influencer, or commercial opportunity obtained through or made available by Live Sober AF.


18. No Direct Solicitation / No Bypass

Brand may not use order information, customer information, shipping information, buyer details, account details, platform activity, sample activity, event activity, trade show activity, influencer activity, creator activity, or any relationship obtained through Live Sober AF to redirect sales away from Live Sober AF.

Brand agrees not to bypass, avoid, circumvent, solicit, contact, redirect, transact with, or attempt to establish a direct relationship with any customer, buyer, retailer, distributor, account, marketplace, channel partner, event contact, trade show contact, creator, influencer, or commercial opportunity obtained through, introduced by, disclosed by, routed through, sampled through, promoted through, or made available by Live Sober AF without written approval.

This section does not restrict Brand from continuing documented pre-existing relationships that existed before Live Sober AF disclosed, routed, introduced, sampled, promoted, or supported the opportunity, provided Brand can reasonably verify the pre-existing relationship.


19. Protected Opportunities and Direct Account Fee

Brand understands that Live Sober AF may identify, create, refer, disclose, introduce, present, facilitate, develop, sample, promote, or materially support commercial opportunities outside of LiveSoberAF.co or outside of Shopify Collective.

These may include, but are not limited to:

  • Key accounts
  • Box chains
  • Regional chains
  • National retailers
  • Distributors
  • Marketplace buyers
  • Event-based buyers
  • Trade show buyers
  • Wholesale accounts
  • Strategic accounts
  • Retail groups
  • Commercial accounts
  • Partner-channel accounts
  • Other direct-to-brand opportunities

Any such opportunity that is identified, disclosed, introduced, presented, sampled, promoted, developed, routed, referred, or materially supported by Live Sober AF shall be considered a Protected Opportunity.

If Brand sells directly to, communicates directly with, receives purchase orders from, ships product to, invoices, receives payment from, or otherwise transacts with a Protected Opportunity, Brand agrees to pay Live Sober AF a success-based protected opportunity fee equal to:

10% of net collected sales from that Protected Opportunity

“Net collected sales” means revenue actually received by Brand from the Protected Opportunity, excluding refunds, credits, taxes, shipping charges, chargebacks, retailer deductions, and returns.

Unless otherwise agreed in writing, the Protected Opportunity fee applies for as long as Brand continues selling to or receiving revenue from the Protected Opportunity.

Brand agrees to provide accurate monthly sales reports for each Protected Opportunity and pay amounts owed to Live Sober AF within 10 business days after Brand receives payment from the Protected Opportunity.

Brand agrees not to bypass, avoid, circumvent, conceal, delay, misreport, or structure transactions in a way intended to avoid payment to Live Sober AF for any Protected Opportunity.


20. Separate Agreement for Strategic or Larger Opportunities

Brand understands that some Protected Opportunities may require direct engagement between Brand and a buyer, distributor, retailer, chain account, marketplace buyer, event contact, trade show contact, or other commercial account.

Brand further understands that larger opportunities may require:

  • Direct ordering from Brand
  • EDI
  • Retailer portal setup
  • Routing guide compliance
  • Freight coordination
  • Net terms
  • Insurance documents
  • Distributor onboarding
  • Chain paperwork
  • Chargeback handling
  • Deduction management
  • Direct account management
  • Buyer negotiation
  • Additional strategic support

Because these opportunities may require separate work and additional protections, Live Sober AF may require Brand to sign a separate Strategic Account Consulting Agreement, protected opportunity agreement, written addendum, or digital agreement before account details are disclosed or the opportunity proceeds.

This separate agreement may include additional fees, including but not limited to:

  • Strategic account support fees
  • Monthly strategic account retainers
  • Success-based consulting fees
  • Protected account fees
  • Protected opportunity fees
  • Other agreed compensation

If Brand does not sign the separate agreement, Live Sober AF may withhold the opportunity, buyer details, account details, channel partner details, event details, trade show details, contact information, and related information.

If no separate agreement is signed but Brand proceeds with a Protected Opportunity disclosed, identified, sampled, promoted, presented, or materially supported by Live Sober AF, the default 10% Protected Opportunity fee in these Terms applies unless Live Sober AF agrees otherwise in writing.


21. No Unauthorized Inserts

Brand may not include unauthorized marketing materials in shipments for Live Sober AF orders.

This includes but is not limited to:

  • “Order direct next time” cards
  • Direct-to-brand discount codes
  • QR codes directing customers away from Live Sober AF
  • Wholesale solicitations
  • Buyer-facing sales materials
  • Third-party promotions
  • Retailer recruitment materials
  • Marketplace redirection offers
  • Any insert designed to move future sales away from Live Sober AF

Any inserts, coupons, samples, promotional cards, flyers, QR codes, or other materials must be approved by Live Sober AF in writing before use.


22. Fulfillment Responsibilities

Brand is responsible for fulfilling approved orders accurately and on time.

Brand agrees to:

  • Ship the correct products
  • Use proper packaging
  • Follow all product-specific shipping requirements
  • Provide valid tracking
  • Keep inventory accurate
  • Notify Live Sober AF of out-of-stock items
  • Notify Live Sober AF of delays
  • Handle fulfillment errors caused by Brand
  • Replace or refund damaged, missing, incorrect, expired, or non-compliant products when caused by Brand or Brand’s fulfillment process

Brand remains responsible for product quality, product safety, labeling, packaging, claims, compliance, and fulfillment accuracy.


23. Product Responsibility and Pass-Through Fulfillment

Brand acknowledges that Live Sober AF operates as a platform, storefront, channel access, and product activation operator for approved products and does not manufacture, formulate, package, label, test, inspect, certify, or physically fulfill Brand’s products unless separately agreed in writing.

Brand is the manufacturer, supplier, seller of record to Live Sober AF where applicable, product owner, or responsible product party for products shared, listed, supplied, or fulfilled through the Brand Partner Program.

Brand remains solely responsible for product safety, quality, labeling, ingredients, claims, testing, certificates, regulatory compliance, manufacturing standards, packaging, warnings, instructions, shipping compliance, product defects, recalls, adverse events, and all product-related obligations.

Live Sober AF may rely on Brand’s product information, labels, claims, COAs, certifications, warnings, compliance materials, and fulfillment representations when listing, selling, sampling, discussing, or presenting Brand’s products.

Brand agrees that any product liability, regulatory issue, recall, claim, complaint, injury allegation, mislabeling allegation, ingredient issue, contamination issue, false advertising claim, compliance issue, or product-related dispute arising from Brand’s products is Brand’s responsibility.


24. Product Compliance

Brand represents and warrants that all products submitted to Live Sober AF:

  • Are lawful to sell
  • Are properly labeled
  • Are accurately described
  • Do not contain false or misleading claims
  • Comply with applicable federal, state, and local laws
  • Comply with applicable ecommerce, payment processor, shipping, and marketplace requirements
  • Do not infringe on third-party intellectual property rights
  • Are safe for their intended use
  • Match the product information provided to Live Sober AF

Brand is solely responsible for product claims, ingredients, packaging, certificates, testing, warnings, regulatory status, age restrictions, labeling, and compliance.

Live Sober AF may request documentation, COAs, lab testing, insurance, product specs, ingredient information, or other supporting materials at any time.


25. Product Claims and Content

Brand is responsible for ensuring that product descriptions, images, marketing copy, claims, labels, and supporting materials are accurate and legally compliant.

Live Sober AF may edit, rewrite, format, shorten, reject, or remove product content to fit platform standards, marketing requirements, compliance concerns, SEO needs, or customer experience.

Approval of a product or listing by Live Sober AF does not mean Live Sober AF has verified legal compliance of the product or its claims.

Brand must provide Live Sober AF with approved talking points and restricted-claim guidance when products have sensitive claims, regulated ingredients, age restrictions, health-related positioning, or other compliance considerations.


26. Returns, Refunds, Chargebacks, and Customer Issues

Live Sober AF may manage customer-facing support for orders placed through its platform.

Brand may be responsible for costs related to:

  • Fulfillment mistakes
  • Incorrect shipments
  • Missing products
  • Damaged products
  • Expired products
  • Recalled products
  • Product quality issues
  • Product misrepresentation
  • Compliance issues
  • Chargebacks caused by Brand’s error
  • Refunds caused by Brand’s error
  • Customer complaints caused by Brand’s product or fulfillment

Live Sober AF may deduct, offset, request reimbursement, pause products, or remove Brand from the program if customer issues, chargebacks, fulfillment problems, or product complaints become excessive.


27. No Guarantee of Strategic Opportunities

Live Sober AF does not guarantee that Brand will receive:

  • Chain account opportunities
  • Distributor opportunities
  • Buyer introductions
  • National retail opportunities
  • Regional retail opportunities
  • Marketplace opportunities
  • Event inclusion
  • Trade show inclusion
  • Influencer inclusion
  • Creator inclusion
  • Wholesale volume
  • Purchase orders
  • Revenue
  • Product acceptance
  • Buyer approval
  • Distributor approval

Live Sober AF provides platform access, commerce infrastructure, direct-to-consumer storefront access, marketplace visibility, sample-based activation, channel support, and potential opportunity consideration, but business results are not guaranteed.


28. Brand Materials and License

Brand grants Live Sober AF permission to use Brand’s name, logo, product images, product descriptions, trademarks, content, marketing materials, product information, packaging images, and sample materials for purposes related to:

  • Platform listing
  • Direct-to-consumer product sales
  • Product sales
  • Catalogs
  • Email marketing
  • Social media
  • Paid or organic promotion
  • Wholesale materials
  • Buyer-facing materials
  • Partner-channel opportunities
  • Product education
  • Product explainers
  • Live streams
  • Event materials
  • Trade show materials
  • Sample kits
  • Bundles
  • Marketplace visibility

Brand represents that it has the right to provide these materials and that Live Sober AF’s use of them will not infringe any third-party rights.

This permission remains active while Brand participates in the program and for a reasonable period afterward for archival, reporting, customer service, and previously published promotional materials.


29. Confidentiality

Brand agrees to keep confidential any non-public information received from Live Sober AF, including but not limited to:

  • Business strategies
  • Buyer relationships
  • Channel relationships
  • Customer data
  • Pricing strategy
  • Platform processes
  • Marketing plans
  • Sample strategies
  • Event opportunities
  • Trade show opportunities
  • Account opportunities
  • Sales routing methods
  • Internal communications
  • Partner names
  • Commercial terms
  • Strategic account information
  • Protected Opportunity information

Brand may not disclose, share, publish, reverse engineer, misuse, or exploit Live Sober AF confidential information for any purpose outside the Brand Partner Program.


30. Independent Contractor Relationship

Live Sober AF provides platform access, commerce infrastructure, direct-to-consumer storefront access, product activation support, and channel strategy services as an independent contractor.

Nothing in these Terms creates a partnership, joint venture, franchise, employment relationship, fiduciary relationship, agency relationship, brokerage relationship, or exclusive sales representative relationship between Brand and Live Sober AF.

Brand has no authority to bind Live Sober AF, and Live Sober AF has no authority to bind Brand unless separately agreed in writing.

Brand remains responsible for accepting, rejecting, negotiating, fulfilling, and managing any direct account opportunity.


31. Termination

Live Sober AF may suspend or terminate Brand’s participation at any time if Brand:

  • Fails to pay fees
  • Violates these Terms
  • Fails to maintain approved pricing
  • Fails to fulfill orders properly
  • Provides inaccurate product information
  • Creates customer service issues
  • Violates confidentiality
  • Attempts to bypass Live Sober AF
  • Sends unauthorized inserts
  • Sells non-compliant products
  • Creates legal, operational, payment, or reputational risk for Live Sober AF
  • Misuses buyer, distributor, event, trade show, creator, influencer, channel, or Protected Opportunity information

Brand may cancel future subscription billing according to the cancellation process provided by Live Sober AF.

Termination does not eliminate obligations that arose before termination, including payment obligations, confidentiality obligations, fulfillment obligations, no-bypass obligations, reimbursement obligations, Protected Opportunity obligations, and any protected relationship obligations.


32. Indemnification

Brand agrees to defend, indemnify, and hold harmless Live Sober AF, Brady Houdashelt, its team members, contractors, partners, affiliates, and representatives from any claims, losses, damages, liabilities, penalties, costs, or expenses arising from:

  • Brand’s products
  • Product defects
  • Product claims
  • Product labeling
  • Product compliance
  • Product recalls
  • Product safety issues
  • Product injuries or alleged injuries
  • Fulfillment errors
  • Shipping errors
  • Intellectual property claims
  • False or misleading advertising
  • Regulatory issues
  • Customer complaints caused by Brand
  • Brand’s breach of these Terms
  • Brand’s violation of law
  • Brand’s attempt to bypass or misuse Live Sober AF relationships
  • Brand’s failure to provide accurate product information, warnings, restricted claims, or compliance guidance
  • Brand’s failure to pay Protected Opportunity fees owed under these Terms or any separate agreement

33. Limitation of Liability

To the maximum extent permitted by law, Live Sober AF shall not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.

Live Sober AF does not guarantee sales, revenue, buyer acceptance, distributor acceptance, chain placement, event results, trade show results, product performance, marketing performance, influencer performance, creator performance, or account outcomes.

Live Sober AF’s total liability under these Terms shall not exceed the amount paid by Brand to Live Sober AF in the one month immediately preceding the event giving rise to the claim.


34. Updates to Terms

Live Sober AF may update these Terms from time to time.

Updated Terms may be posted on LiveSoberAF.co or provided to Brand electronically.

Continued participation in the Brand Partner Program after updated Terms are posted or provided constitutes acceptance of the updated Terms.


35. Entire Agreement

These Terms, together with any subscription checkout terms, onboarding forms, Shopify Collective requirements, invoices, written addenda, or separate signed agreements, form the agreement between Brand and Live Sober AF for the baseline Brand Partner Program.

Any strategic account, chain account, distributor, national retail, event-based buyer opportunity, trade show opportunity, Protected Opportunity, or larger commercial opportunity may require a separate written or digital agreement before proceeding.

If a separate written or digital agreement conflicts with these Terms, the separate agreement controls only for the specific opportunity or subject matter covered by that agreement.
